Here are the notes from the Board Meeting tonight regarding the current status of PDA. There were also some follow up questions from the General Meeting.

BOARD MEETING NOTES

Tim Kogler and Dawn Cohoon met with Levy in regards to the incident on 3/4 at Xcel. They were informed that PDA, as a Non Profit Group, will not be allowed to fundraise at Xcel, CHS Field or Target Center. They also informed them that Levy has compiled a specific list of members that will not be allowed to fundraise in a Levy facility again. Those members will be notified in person in the next 24 hours. Any other members are free to fundraise with another non-profit group.

There was a 4-0(1 absent) vote to dissolve PDA as a Non Profit Organization.

The Board will immediately begin to investigate the process to dissolve a 501C3 Non Profit. We will retain an attorney to make sure that we follow all IRS, State Government , Federal Government and our existing Bylaws for the process. We will inform the members on a weekly basis with the current status.

There was a 4-0(1 absent) vote to have Todd Morrell take over the Treasurer role through the end of the dissolving process due to the long term involvement and understanding in that role.

The 3/4 date at Xcel has not been advised whether or not it will be paid by the X. It WILL be paid by the PDA Hardship for all that worked. All will be determined upon information or payment received from the X.

Once all inbound payments have been received from our venues, we will process, pay and close all accounts for this year. Please review all payments received and if there are any questions, it will need to be handled immediately.

GENERAL BOARD MEETING

The question was raised whether PDA would return the 2018 Membership Fee to the members of the group. It was acknowledged as a good question the Board did not consider but would definitely review and vote on. There will be an upcoming answer to this question.

The remaining funds that are available in the Savings and Hardship accounts will be discussed and determined regarding absolution between the attorney, PDA Bylaws and State & Federal Laws. We will keep everyone apprised of the situation.

The question was asked about other Non- Profit Groups to possibly work for. There have been no specific recommendations but other PDA members work for other groups. Please look for your opportunities.

As already stated, the Board will do their best to relay information on a weekly basis as long as there is information to pass out. We have ZERO idea how this process will work but will be upfront with the group as we receive any information.

Thursday 3/22, as noted from Dawn, we will conduct a PDA member meeting to inform you of the meeting which took place earlier that day at Levy Thursday at 330pm. The Levy meeting will be attended by Dawn, Tim and maybe Todd if he is back in town in time. The Board will meet at 6pm and General Member meeting at 7pm Thursday. NO checks will be handed out at this meeting.

The meeting will take place at The Crooked Pint at 1734 Adolphus St, Maplewood, MN 55117. This is the old Chammps. We will meet in the porch area on the South Side. All other locations were full to meet at.

I will also be giving my 30 day notice of resignation from the illustrious Board of PDA. It use to be fun and enjoyable, but these days it has become not that along with extended amounts of time I cannot commit too. I hope the group stays intact and some of you step up to the board position, it’s not as bad as I make it seem:)
